Incorporated in the State of Delaware

You went jurisdiction-shopping to incorporate your business in a state with an official state catholic chancery court.

Are businesses looking for a "rule of law" or are they looking for some loophole in the law that would allow them to incorporate in a completely different jurisdiction from where they actually do business?

Shell corporations, holding companies and special purpose business entities are fleeing Delaware. Not that it's illegal but it's a foreign and very likely hostile "default" jurisdiction to incorporate in for lack of any other explicit choice.

You are likely to get much more favorable treatment in local courts of proper jurisdiction as a local business if you actually incorporate locally where you do business. If local laws aren't favorable, there's always a local chamber of commerce with heavy influence on local legislation. People who have local problems ultimately have to fight it out with the local authorities and deal with their problems locally.

Delaware faces losing another company
Several companies have already expressed their intention to reincorporate in another state, in what has been referred to as “Dexit.”

Guns are banned, and average citizens who are not deemed good faith catholics in a court of chancery law are treated as shoplifters and trespassers on the premises of these "stores" and as incompetent "consumers" in all other matters.

If Florida is any better to incorporate with naked prostitutes enforcing strict dress codes for men on the beaches, and screaming lesbians in all the public restrooms, good luck with the rule of "law" and making money from the patronage of respectable customers and all that.

Florida is just another business-hole to get out of and stay away from, like Delaware. Sorry. They're scamming law-abiding enterprising citizens with their PDF-fillers and mail-in LLC formation and business incorporation forms. They're not giving any of us any solid foundation of constitution and law to build a business on.

There are too many fakirs with magic carpets, and you always have to keep such a low profile among such low company and never complain about anything. Found a business and they pull the rug right out from under you. Your own rug, bought and paid for, at that.
